These Terms of Service ("Terms") govern your access to and use of the CardFlow platform, website, and services (collectively, the "Service") operated by CardFlow ("we," "our," or "us"). Please read these Terms carefully before using our Service.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Account Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

3. Service Description

CardFlow provides a platform for creating, sharing, and managing digital business cards. Features include but are not limited to:

• Digital business card creation and customization
• NFC and QR code-based card sharing
• Lead capture and contact management
• OCR-based business card scanning
• Analytics and performance tracking
• Product and service showcase
• vCard contact export

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or share false, misleading, defamatory, or fraudulent content
• Impersonate any person or entity
• Distribute spam, malware, or other harmful content
• Collect or harvest information about other users without their consent
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to the Service or related systems
• Use automated tools (bots, scrapers) to access the Service without permission
• Resell or redistribute the Service without our written consent
• Use the Service for any illegal, harmful, or abusive purpose

5. User Content

5.1 Ownership

You retain ownership of all content you create, upload, or share through the Service ("User Content"), including business card details, images, logos, and product information.

5.2 License

By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content solely for the purpose of providing and promoting the Service. This license terminates when you delete your content or account.

5.3 Responsibility

You are solely responsible for your User Content. You represent that you have all necessary rights and permissions to use and share the content you upload, including logos, images, and trademarks.

6. Lead Data and Visitor Information

• Lead data collected through your digital cards belongs to you
• You are responsible for handling lead data in compliance with applicable privacy laws
• You agree not to misuse visitor information or contact visitors for purposes they have not consented to
• We act as a data processor for lead data on your behalf; you are the data controller

7. Subscription Plans and Payments

7.1 Free and Paid Plans

We offer both free and paid subscription plans. Feature availability varies by plan as described on our pricing page.

7.2 Billing

• Paid plans are billed on a recurring basis (monthly or annually) as selected at the time of purchase
• All prices are listed in the currency specified on the pricing page and are exclusive of applicable taxes unless stated otherwise
• Payment is due at the beginning of each billing cycle

7.3 Price Changes

We reserve the right to change our pricing. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

7.4 Cancellation

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• You will retain access to paid features until the end of your billing period

8. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is owned by CardFlow and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written consent.

The CardFlow name, logo, and related marks are our trademarks. You may not use them without our prior written permission.

9. Third-Party Services

The Service may integrate with or link to third-party services (e.g., payment processors, social media platforms, messaging services). We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services is subject to their respective terms and policies.

10. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted or error-free service
• We may perform scheduled maintenance with reasonable advance notice
• We reserve the right to modify, suspend, or discontinue any feature of the Service at any time

11. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, either express or implied
• We do not warrant that the Service will meet your specific requirements or expectations
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss of data, revenue, or business opportunities

12. Indemnification

You agree to indemnify and hold harmless CardFlow, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

• You may terminate your account at any time by contacting us or through account settings
• We may suspend or terminate your account for violation of these Terms, with or without notice
• Upon termination, your right to use the Service ceases immediately
• We may retain certain data as required by law or for legitimate business purposes
• Provisions that by their nature should survive termination will survive (including Sections 8, 11, 12, and 15)

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to resolve any dispute informally
• Governing Law: These Terms are governed by the laws of India
• Jurisdiction: Any legal proceedings shall be brought exclusively in the courts of New Delhi, India

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and CardFlow
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction

16. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes via email or prominent notice on the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.
